These Terms of Use (“Terms”) govern your access to and use of aiexcellence.ai and the educational content, prompts, guides, downloads, training materials, communications, and other resources made available by AI Excellence Group LLC (“AI Excellence,” “we,” “us,” or “our”).
By accessing or using our website or resources, you agree to these Terms. If you do not agree, do not use the website or resources.
1. About AI Excellence
AI Excellence provides educational information, prompts, training, workflows, examples, and resources relating to artificial intelligence, productivity, Microsoft Copilot, Microsoft 365, and related technologies.
Our materials are intended to help users better understand and use technology. They are not a substitute for professional advice, organizational policies, independent judgment, or appropriate human review.
2. Educational and Informational Purposes
All content and resources provided by AI Excellence are for educational and informational purposes only.
Nothing provided through our website, prompts, videos, communications, downloads, products, or services constitutes legal, financial, accounting, tax, investment, medical, cybersecurity, employment, human-resources, regulatory, or other professional advice.
You are responsible for evaluating whether information or AI-generated output is appropriate for your specific circumstances and for obtaining qualified professional advice when necessary.
3. Artificial Intelligence Outputs
Artificial-intelligence systems may produce inaccurate, incomplete, misleading, outdated, biased, or otherwise inappropriate results.
Prompts and examples provided by AI Excellence do not guarantee any particular result.
You are responsible for reviewing, verifying, editing, and approving AI-generated content before relying upon it, distributing it, submitting it, publishing it, or using it to make decisions.
You should apply appropriate human judgment and any review, approval, compliance, legal, security, or quality-control procedures required by your employer or organization.
4. Confidential and Sensitive Information
Do not enter confidential, sensitive, personal, proprietary, regulated, classified, or restricted information into an artificial-intelligence service unless:
you are authorized to use that information;
the service is approved for that purpose;
your organization's policies permit the use;
appropriate security and contractual protections are in place; and
applicable laws and regulations permit the processing.
Examples may include confidential business information, customer information, employee information, medical information, financial records, credentials, trade secrets, intellectual property, and regulated personal data.
AI Excellence is not responsible for information you independently submit to third-party artificial-intelligence services.
5. Third-Party Platforms and Services
Our content may discuss, demonstrate, reference, link to, or provide instructions involving third-party products and services, including Microsoft Copilot, Microsoft 365, ChatGPT, and other technology platforms.
Third-party products are controlled by their respective providers and are subject to their own terms, privacy practices, licenses, subscriptions, security configurations, features, and organizational controls.
Features, interfaces, product names, availability, pricing, and functionality may change without notice.
AI Excellence cannot guarantee the continued availability or functionality of any third-party feature demonstrated in our content.
6. Microsoft and Other Trademarks
Microsoft, Microsoft 365, Copilot, PowerPoint, Word, Excel, Outlook, Teams, and related names, logos, and trademarks are the property of Microsoft Corporation and its affiliates.
Other third-party trademarks belong to their respective owners.
Unless expressly stated otherwise, AI Excellence is an independent educational business and is not affiliated with, endorsed by, sponsored by, or formally associated with Microsoft or any other third-party technology provider.
References to third-party products are made for educational, descriptive, and informational purposes.
7. Intellectual Property
Unless otherwise stated, the original content made available through AI Excellence, including our written materials, educational frameworks, guides, prompt collections, prompt wording, instructional materials, videos, graphics, branding, downloads, templates, product materials, and website content, is owned by or licensed to AI Excellence and is protected by applicable intellectual-property laws.
All rights not expressly granted are reserved.
8. License to Use Free and Purchased Resources
Unless a specific product states otherwise, AI Excellence grants you a limited, non-exclusive, non-transferable, revocable license to use our prompts and educational resources for:
your own personal use; and
your own internal professional or business use.
You may adapt a prompt for your own work and use the resulting output for legitimate personal or internal professional purposes.
This license does not transfer ownership of the underlying AI Excellence material.
9. Uses That Are Not Permitted
Unless we provide prior written permission, you may not:
sell, sublicense, or commercially redistribute our prompts or resources as standalone products;
republish substantial portions of our materials publicly;
upload or distribute our paid resources to public repositories, shared libraries, or file-sharing services;
reproduce our resources for the purpose of creating a competing prompt library, training product, course, guide, membership, or substantially similar commercial offering;
remove copyright, trademark, attribution, or proprietary notices;
represent our materials as your original work;
use our brand, logo, or name in a manner that suggests endorsement or affiliation;
circumvent access controls, paywalls, membership protections, or other technical restrictions; or
use our website or resources in an unlawful, fraudulent, abusive, or harmful manner.
Nothing in these Terms limits uses that cannot lawfully be restricted under applicable law.
10. Sharing Links to Free Resources
You may share a public link to a free AI Excellence resource unless the resource states otherwise.
Sharing a link does not grant permission to copy, repackage, sell, or republish the underlying material.
Paid, subscriber-only, member-only, or otherwise restricted resources may not be shared with unauthorized users.
11. User Conduct
You agree not to:
interfere with the operation or security of our website;
attempt unauthorized access to accounts, systems, or restricted content;
use automated systems to scrape or systematically reproduce our content without permission;
distribute malware or harmful code;
misuse contact forms or communication systems;
violate the intellectual-property or privacy rights of others; or
use our services in violation of applicable law.
12. Purchases and Digital Products
If we offer paid products, services, subscriptions, courses, memberships, or other digital content, additional terms displayed at the time of purchase may apply.
Prices and product descriptions may change.
You agree to provide accurate payment and account information.
Refunds, cancellations, and other purchase rights will be governed by the policy presented at purchase and applicable law.
Nothing in these Terms excludes or limits any mandatory consumer rights that cannot legally be waived.
13. No Guarantee of Results
Examples, demonstrations, workflows, testimonials, use cases, or descriptions of potential productivity benefits are illustrative only.
We do not guarantee that using a particular prompt, resource, workflow, product, strategy, or artificial-intelligence service will produce a particular business, financial, career, productivity, professional, or other outcome.
Results vary based on numerous factors outside our control.
14. Accuracy and Changes
We aim to provide useful and accurate information, but technology develops rapidly.
Information may become outdated because of software updates, feature changes, product discontinuation, licensing changes, policy changes, or other developments.
We do not guarantee that every resource will remain accurate, complete, current, or available at all times.
We may revise or remove resources without notice.
15. Disclaimer of Warranties
To the maximum extent permitted by applicable law, the website and our resources are provided on an “as is” and “as available” basis.
We disclaim warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, availability, and reliability.
We do not warrant that the website will operate without interruption, error, or security vulnerability.
Some jurisdictions do not permit certain warranty exclusions, so some exclusions may not apply to you.
16. Limitation of Liability
To the maximum extent permitted by applicable law, AI Excellence Group LLC and its owners, officers, employees, contractors, affiliates, licensors, and service providers will not be liable for indirect, incidental, consequential, special, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, lost opportunities, business interruption, reputational damage, or similar losses arising from or relating to your use of, or inability to use, our website, resources, prompts, educational materials, or third-party AI services.
To the maximum extent permitted by law, our aggregate liability arising from or related to a paid product or service will not exceed the amount you paid to AI Excellence for the product or service giving rise to the claim during the twelve months preceding the event giving rise to liability.
For free resources, our aggregate liability will not exceed USD $100 to the extent such limitation is legally permitted.
These limitations do not apply where applicable law prohibits them.
17. Indemnification
To the extent permitted by applicable law, you agree to indemnify and hold harmless AI Excellence Group LLC and its owners, officers, employees, contractors, and affiliates from claims, losses, liabilities, damages, and reasonable expenses arising from your unlawful misuse of our website or resources, your violation of these Terms, or your infringement of another person's rights.
18. Privacy
Our collection and handling of personal information is described in our Privacy Policy.
By using our website, you acknowledge that personal information may be processed as described in that policy.
19. Availability and Modification of Services
We may modify, suspend, discontinue, restrict, or change any part of our website, resources, products, or services at any time.
We are not responsible for the unavailability of third-party services or for changes made by third-party providers.
20. Termination or Restriction of Access
We may restrict or terminate access to our services or resources where we reasonably believe a user has violated these Terms, violated applicable law, infringed our rights, threatened security, engaged in abuse, or misused restricted content.
Provisions that by their nature should survive termination will continue to apply.
21. Governing Law
These Terms are governed by the laws of the State of Florida and applicable federal laws of the United States, without regard to conflict-of-laws principles.
Nothing in this section deprives a consumer of mandatory protections available under the laws of the jurisdiction in which they reside where such protections cannot legally be waived.
22. Disputes
Before initiating formal legal proceedings, we encourage you to contact us so that we can attempt to resolve the matter informally.
Unless applicable law requires otherwise, disputes arising from these Terms will be brought in a court of competent jurisdiction located in Florida.
Mandatory consumer rights concerning jurisdiction remain unaffected.
23. Severability
If any provision of these Terms is found invalid or unenforceable, the remaining provisions will continue in effect to the maximum extent permitted by law.
24. No Waiver
Failure to enforce a provision of these Terms does not constitute a waiver of that provision or any other rights.
25. Changes to These Terms
We may revise these Terms as our services or legal obligations change.
The updated Terms will be posted on this page with a revised effective date.
Your continued use of our website after changes take effect constitutes acceptance to the extent permitted by applicable law.
